1. Agreement to Terms

By accessing or using AutoPod (the "Service"), operated by MB Skydis ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Service.

By using the Service, you represent that you are at least 18 years of age, or if you are under 18, that you have obtained parental or guardian consent to use the Service.

2. Nature of the Service

AutoPod is an AI-powered content marketing automation platform that allows subscribers to:

• Generate deep-researched, SEO-optimized blog articles using artificial intelligence
• Automatically translate articles into up to 30 languages
• Generate podcast audio from published articles
• Publish content on their own domain for SEO benefits
• Customize blog appearance with themes, colors, fonts, and branding
• Connect to third-party services such as Buzzsprout for podcast distribution

4. User Accounts and Subscriptions

Certain features of the Service require creating an account and/or purchasing a subscription. By creating an account or subscribing:

• You agree to provide accurate and complete information.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activities that occur under your account.
• You must notify us immediately of any unauthorized use of your account.

Subscription Terms:

• Subscriptions are billed on a recurring monthly or annual basis through Stripe.
• Each plan (Starter, Growth, Scale) has defined limits on articles per month, translation languages, and audio generation.
• You may cancel your subscription at any time through your account settings or the Stripe customer portal.
• Cancellation takes effect at the end of your current billing period. No partial refunds are provided for the remaining period.
• We reserve the right to modify subscription pricing with 30 days' notice.

5. Refund Policy

We offer a 14-day money-back guarantee for new subscribers:

• If you are not satisfied with the Service, contact us at info@mbskydis.com within 14 days of your first payment for a full refund.
• After 14 days, all sales are final. We generally do not offer refunds for subsequent billing periods.
• If you experience technical issues that prevent you from using the Service, please contact us within 7 days of payment. We will review requests on a case-by-case basis.
• Chargebacks or payment disputes filed without first contacting us may result in permanent account suspension.

6. Content Ownership and License

• Your Content: You retain ownership of the content generated through your account. AutoPod grants you a non-exclusive, perpetual license to use, modify, and publish all content generated for your tenant.
• Platform Content: The Service, including its user interface, code, branding, and documentation, is owned by MB Skydis and protected by intellectual property laws.
• "Powered by AutoPod" Attribution: Depending on your subscription plan, generated blog pages may include a "Powered by AutoPod" attribution link. Removal or modification of this link is available on certain plans as described in the plan features.
• License to Use Your Niche/Topic Data: By providing niche, topic, and preference information, you grant us the right to use this data to generate content on your behalf.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws.
• Generate content that is defamatory, fraudulent, hateful, or promotes violence.
• Use the Service to produce spam, misleading content, or content designed to manipulate search engine rankings through deceptive means.
• Attempt to reverse engineer, decompile, or disassemble the Service.
• Interfere with or disrupt the Service or servers or networks connected to the Service.
• Use automated means (bots, scrapers, etc.) to access the Service beyond the provided API and automation features.
• Share your account credentials with others or allow others to use your subscription.
• Exceed the usage limits of your subscription plan through technical circumvention.
• Use the Service to generate content that infringes on third-party intellectual property rights.

8. Third-Party Integrations

The Service integrates with or connects to third-party services, including but not limited to:

• Google Firebase: Authentication, data storage, and hosting
• Stripe: Payment processing
• OpenAI: AI-powered content generation and deep research
• Google Generative AI: Translation and image generation
• Buzzsprout: Podcast hosting and distribution (user-configured)
• Google Analytics: Usage analytics and conversion tracking

Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices, content, or availability of these third-party services.

API Keys: When you provide API keys for third-party services (e.g., Buzzsprout), these keys are encrypted using AES-256 encryption and stored securely. You are responsible for managing the permissions and validity of your API keys.

9. Custom Domain and SEO

AutoPod allows you to publish content on your own domain through a reverse proxy or subdirectory configuration:

• You are responsible for configuring your domain and DNS settings according to our documentation.
• We do not guarantee specific search engine rankings, traffic levels, or SEO results.
• SEO performance depends on many factors outside our control, including domain authority, competition, and search engine algorithm changes.
• We are not responsible for any negative impact on your domain's reputation or rankings arising from the published content.

You agree to defend, indemnify, and hold harmless MB Skydis and its officers, directors, employees, agents, affiliates, partners, licensors, and service providers from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Content published on your domain through the Service
• Your violation of these Terms
• Your violation of any rights of another party, including intellectual property rights
• Any claim that content generated through your account caused damage to a third party

13. Modifications to the Service and Terms

We reserve the right to:

• Modify, suspend, or discontinue any part of the Service at any time without notice.
• Update these Terms at any time. We will post the updated Terms on this page with a new "Last Updated" date.
• Your continued use of the Service after any changes constitutes acceptance of the modified Terms.

14. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. We are not liable for any loss of data or access resulting from termination. You may export your content before termination by contacting us.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Lithuania, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the courts of Vilnius, Lithuania.

If you are a consumer residing in the European Union, you may also have recourse to the European Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published on the Service, constitute the entire agreement between you and MB Skydis regarding your use of the Service and supersede all prior agreements and understandings.
